TSA Board of Directors/Committee Chairs Code of Conduct
The Texas Society of Anesthesiologists (TSA) is committed to ethical, professional and lawful conduct in the pursuit of its affairs, including the proper use of authority by members of its Board of Directors and Committee Chairs when acting on behalf of the TSA.
Board Members and Committee Chairs of the TSA will:
- Support the mission and policies of the TSA,
- Fulfill their responsibilities in good faith and in the best interests of the TSA,
- Comply with the TSA’s Bylaws, Code of Conduct, and Conflict of Interest Policy,
- Safeguard the confidentiality of any information determined by the TSA to be sensitive or confidential, including any matters discussed during executive (closed) meetings of the Board,
- Respect and give fair consideration to diverse and opposing viewpoints,
- Exercise professional behavior and good judgment in dealings with TSA staff, exhibitors and vendors and respond to communications from TSA members in a responsible, respectful and professional manner within the scope of authority provided by the TSA Bylaws and resolutions of the Board of Directors,
- Perform his or her assigned duties in a professional and timely manner pursuant to the Board’s direction and oversight, without exceeding the authority provided by the TSA Bylaws or resolution of the Board of Directors,
- Never utilize the TSA staff, or TSA resources or property for personal or third-party benefit,
- Demonstrate due diligence and dedication in preparation for and participation in TSA-sponsored meetings and other activities, and
- Ensure that the financial affairs of the Society and its affiliates are conducted in a responsible and transparent manner,
Disposition of Complaints and Disputes:
- The TSA Judicial Committee shall review complaints alleging that a member of the Board of Directors or a Committee Chair has failed to carry out the duties or exceeded the authority provided by the TSA Bylaws, Policies, or Code of Conduct.
- The review of such complaints shall include an opportunity for the member to present his/her position in an executive (closed) meeting of the Judicial Committee called for this purpose, with reasonable notice provided to all parties.
- The TSA Judicial Committee shall make recommendations regarding resolution of such matters to the TSA Executive Committee, which will determine whether the matter shall be referred to the TSA Board of Directors. Any decision by the Board shall be final and may include but is not limited to formal or informal censure of the member, suspension, or a request for the member’s resignation as a member of the Board of Directors or Committee Chair.
